This is what you
receive.

This LOI confirms the mutual intent of Buyer and Supplier to proceed with the above commodity transaction under the stated terms. Both parties agree to negotiate in good faith toward a final Sales & Purchase Agreement (SPA) within 14 calendar days of this LOI date.

Buyer agrees to pay USD $284,000 directly to Supplier via SWIFT / TT within 30 days of confirmed shipment. Payment and settlement occur directly between Buyer and Supplier outside the SLOI AI platform. SLOI AI acts as facilitator only and does not hold, process, or guarantee funds.

Supplier delivers on FOB Dubai terms no later than 1 August 2026. A packing list, certificate of origin (COO), and certificate of analysis (COA) must accompany shipment. Delays beyond 7 business days without written notice entitle Buyer to renegotiate terms or cancel this LOI.

The identity of REF-MET-001 is protected by SLOI AI under the platform's supplier confidentiality policy. Full supplier details are disclosed only upon execution of a final SPA and receipt of payment confirmation. Buyer agrees not to circumvent SLOI AI to contact the supplier directly.

This LOI is governed by UAE commercial law (DIFC). Disputes are subject to ICC arbitration seated in Dubai. Good-faith mediation is required before legal proceedings are initiated.

SLOI AI Ltd. acts solely as a digital facilitator and AI-powered negotiation platform. It is not a party to the commercial transaction, does not hold funds, and bears no liability for the performance of either Buyer or Supplier under this LOI. A platform facilitation fee of USD $500 applies upon LOI generation.
